Confidential Non Disclosure Agreement(NDA)

This AGREEMENT is entered into on this ________ day of ________________________, _____________, The Arena Network, Inc. (“organization”) and ____________________________(“individual”).

WHEREAS, the Individual has expressed an interest in participating in a meeting of the organization where confidential information (including but not limited to financial data, corporate strategies, etc.) regarding the organization’s participant’s companies and personal lives is likely to be revealed to such participants (“confidential information”). In addition, all files, documents, and similar items relating to the business of the organization, whether prepared by the organization’s facilitators or otherwise coming into the organization’s possession, shall remain the exclusive property of the organization (“confidential information”).

NOW THEREFORE, in consideration of the organization permitting individuals to participate in a meeting and as a condition of that participation, the individual agrees to the following:

1. Confidential Information provided to the Individual will be kept confidential by the Individual and may not be disclosed under any circumstances.
2. Confidential information does not include any information which:
   1. At the time of disclosure or thereafter is generally available to and known by the public (other than as a result of disclosure prohibited by this agreement)
   2. Was available to any party on a non-confidential basis from a source other than another party or its advisors, provided that such source is not and was not bound by a confidentiality agreement with respect to such information or,
   3. Has been independently acquired or developed by a party without violating any such party’s obligations under this agreement.
3. The parties agree that each party and each participant shall be entitled to equitable relief, including injunction, in the event of any breach of the provisions of this agreement, in addition to all other remedies available to the non-breaching party at law or in equity.
4. This agreement is for the benefit of the organization. It is also for the benefit of members of the organization whose confidential information is revealed. The parties hereto acknowledge and agree that such participants are third-party beneficiaries of this agreement. This agreement shall be governed by and construed in accordance with the internal laws of the State of California.

IN, WITNESS WHEREOF, the undersigned parties agree to be bound as of the day and year above first written.

Membership Covenant

Member enters into this covenant with The Arena expecting that The Arena will…

• Help members develop their leadership, and the health of their organization.
• Facilitate seasoned business counsel from peer members.
• Facilitate monthly gatherings where members can share business challenges and experiences to help peer members.
• Continue to look for and implement processes and tools that provide additional value to other members so that they can more effectively build profitable companies and enhance their lives.

The Arena enters into this covenant with the member expecting that he/she will…

• Keep confidential all that is discussed during gatherings, including any recordings received.
• Follow the core values required of all members of The Arena:
  • Learn with Modesty – Commit to posture oneself as a “student” beneath each member in the chapter, including those who may be younger, less wealthy, or less successful.
  • Apply with Urgency – Commit to 30-day applications, and be prepared to give a full report at subsequent gatherings, doing everything you can to change your circumstances for the better.
  • Abide with Character – Commit to wholesome integrity (you will do the right thing), and positive intent (you mean no harm to others, and you intend for their greatest good).
• Actively participate and seek to add value in discussions.
• Make every effort to attend 100% of gatherings, with the understanding that absence from a scheduled gathering does not warrant a refund of monthly dues.
• Refrain from the direct solicitation of other members, excluding friends, for charitable organizations.
• Recognize that the transacting of any business can compromise transparency and the giving of unbiased counsel. Member agrees not to do business with peer members, unless it’s insignificant to both parties.
• Pay membership dues on time and expect a modest increase every year.
• Give thirty days (30) written notice of cancellation and participate in an exit interview with the facilitator should they decide to leave The Arena for any length of time.
• Share the value that they have received from The Arena with other leaders.
